Congratulations on acquiring a new business! We are here to make the transition of your Gingr account as smooth as possible. This guide outlines what to expect throughout the Transfer of Ownership (TOO) process, what we will need from you, and the steps we will complete on your behalf.

Please read this document in full — and in particular note the processing timelines for payment setup, as these require advance planning. Do not hesitate to reach out to Gingr's Professional Service Team with any questions.

 

Understanding Your Transfer Type

Ownership Transfers usually fall into one of two scenarios.

Type 1 — Taking Over an Existing Gingr URL

You will assume the current owner's Gingr account at its existing web address. All historical data, settings, and configurations remain in place under your ownership.

Type 2 — Multi-Location App (Partial Acquisition, New URL)

You are acquiring only select locations from a multi-location Gingr account. A new app will be created for you, and we will mirror the relevant location settings and perform a data import.

Important: Payment Processing Lead Times

Before walking through the full step-by-step process, please review these timelines carefully. Payment processing setup — particularly if you are using CardConnect or wish to transfer stored customer cards — requires significant lead time that cannot be shortened.

Important:  A minimum of 30 days' notice is strongly recommended. Same-day or next-day merchant transitions are not possible. CardConnect account approval alone takes approximately one week, and this timeline is set by CardConnect as a third-party processor outside Gingr's control.

If your acquisition is closing in less than 30 days, please notify your consultant immediately so we can review your options and set realistic expectations.

 

What You Can Expect — Step by Step

Below is an overview of the process your consultant will guide you through. Some steps are completed by our team; others require your direct action.

Step 1 — Complete the Professional Service Request Form

  1. Complete the Transfer of Ownership Professional Service Request Form to get started— ideally at least 30 days before your transaction close date.
  2. Submit your request here: Paid Professional Service | New Request Form. The form captures your business details, close date, previous owner's payment processor, and whether you need a card-on-file transfer.
  3. Our team will review your submission and reach out within 48 hours with a link to schedule a consultation call to walk through the process and confirm your transfer type.

Step 2 — Consultation Call

  1. Once your form is submitted, your consultant will reach out within 48 hours with a link for you to schedule a consultation call.
  2. This call is used to review your transfer details, confirm which services apply, walk you through the process, and align on timeline and next steps — including what is needed from the current owner and how payment processing will transition.

Step 3 — Invoice & Payment

  1. Your consultant will issue an invoice for all applicable Professional Services.
  2. Payment must be received before any project tasks are initiated.

Step 4 — Data Release Agreement (DRA)

  1. Both you (the Buyer) and the Seller must sign a Gingr Data Release Agreement via DocuSign.
  2. This agreement authorizes our team to begin work on the transfer ahead of the official sale date.

Note:  If you are acquiring more than one location, a separate DRA is required for each location.

Step 5 — New Gingr Account Setup (Type 2 Only)

  1. If you are receiving a new Gingr URL, your consultant will set up your new account.
  2. You will be asked to place a card on file for your ongoing monthly subscription.
  3. If you are enrolling in our Credit Card Processing (CCP), you may be eligible for a subscription discount - please discuss this with your consultant.

Step 6 — Payment Processing Account Setup

You will need a payment processing account to accept credit and debit cards through Gingr. We support two processors. We recommend setting this up as early as possible given the lead times outlined above.

 

Option A: CardConnect

  • You may apply in advance of your transfer date — the earlier the better.
  • Apply for a CardConnect merchant account here: Credit Card Processing Application. Account approval takes approximately one week.
  • If you are re-using the seller's terminals, certain Ingenico models can be reconfigured — your consultant will coordinate this.
  • Clover terminals cannot be transferred between accounts and will need to be replaced.

Option B: Gingr Payments

  • Enrollment occurs on the effective date of your sale — not before.
  • All Transfer of Ownership customers using Gingr Payments will receive one complimentary WisePOS E terminal (unless you plan to repurpose an existing compatible terminal).
  • Your consultant will coordinate the timing of your account setup to ensure no processing disruption on transfer day.

Step 7 — Token Migration (Optional Add-On)

If you wish to transfer stored credit cards (tokens) from the previous owner's account to yours, a Token Migration must be requested. This is an optional paid service.

Requirements for Token Migration:

  1. You must have a fully boarded (approved and active) payment processing account before this process can begin.
  2. The Seller must provide written consent via email — copied to you, the Seller, and Gingr — confirming agreement to transfer the stored cards.
  3. Your consultant will submit the migration request on your behalf.

Note:  Token Migration for CardConnect carries a 2-week service-level agreement (SLA) after your new account is active. Please factor this into your planning — the full timeline from account application to completed card transfer is 2.5–3 weeks minimum.

Important limitations to be aware of:

  • Tokens can only be migrated between the same payment processor (e.g., CardConnect to CardConnect, or Gingr Payments to Gingr Payments).
  • Migration from CardConnect to Gingr Payments, or vice versa, is not currently supported.

Step 8 — Data Migration & Go-Live

Once all agreements are signed, accounts are established, and payment is confirmed, our team will complete the technical transfer tasks. For Type 2, this includes a Gingr-to-Gingr data import.

 

Please note the following regarding the data import:

  • Vaccination dates and signed agreement dates will transfer.
  • Actual document files (e.g., PDFs) will not transfer and must be retained by you separately.
  • No historical data (past reservations or financials) will transfer.
  • All users will need to reset their passwords in the new app.
  • A new invite code will be issued for the Gingr mobile app.

Closing on Short Notice?

If your acquisition is closing in less than 30 days, please do not wait — contact us immediately. Here is what happens when you notify us of an expedited timeline:

  1. Submit the Professional Service Request Form right away and note your expedited close date in the comments field.
  2. Your consultant will review your request and contact CardConnect directly to explore any available expedited options.
  3. We will confirm the earliest realistic transition date based on CardConnect's current processing capacity.
  4. If your merchant account cannot be redirected before your close date, your consultant will advise on temporary workarounds such as manual reconciliation until the new account is live.

Important:  Even with escalation, same-day or next-day transitions are not feasible. CardConnect's one-week minimum for account approval is a third-party requirement outside Gingr's control. We will do everything possible to move as quickly as the process allows.

Key Reminders

Submit your Professional Service Request Form at least 30 days before your close date.

  • All invoices must be paid prior to project work beginning.
  • DRAs must be fully signed before our team can access or modify any app data.
  • CardConnect Token Migration requests require a minimum 2-week lead time after your new account is active.
  • Gingr Payments enrollment occurs on your effective sale date — not before.
  • If you are acquiring multiple locations, confirm this with your consultant early, as it affects the DRA and invoicing process.

For Sellers: Closing Your CardConnect Account

The seller is responsible for initiating the closure — it does not happen automatically.

Merchant accounts will need to remain open for at least 60 days after the last transaction to allow for any potential refunds and/or chargebacks. Merchants can contact our Merchant Support team at merchantsupport@gingrapp.com after the 60 days have passed to request cancellation, and we will facilitate with the processor. Merchants will need to provide the business name and merchant ID.

Important:  If the account is not canceled promptly, monthly charges or fees will continue and cannot be refunded. For questions about payment account closures, contact merchantsupport@gingrapp.com.
